What is the role of an Elected Director?
The Ageing Australia Board of Directors is made up of elected and appointed directors. While the Elected Director positions are state based, they represent all Ageing Australia members, not just members from their ‘home state’.
Ageing Australia Elected Directors:
- represent members on the Board
- help set the strategic direction of the organisation
- bring the voice of members to Board discussions and decisions
- have legal and governance responsibilities under the Corporations Act 2001 and the Ageing Australia Constitution
- contribute to the oversight of finances, risk, governance, and delivery of our strategic plan
- work with other directors to ensure Ageing Australia is accountable, effective and aligned with its purpose.
Who is eligible to nominate for the available Elected Director positions?
To be eligible, nominees must:
- be an ‘officer’ of a member organisation (usually the CEO, or equivalent, or a board director) that has at least 50 per cent of its operations located in Victoria or in Tasmania. (Officer is further defined in the Constitution)
- meet the conditions of Director eligibility set out by Australian Securities & Investment Commission and the Australian Charities & Not-for-profits Commission
- give consent in writing to become a Director, via the Elected Director Nomination Form.
Desirable attributes
In addition to the eligibility criteria, nominees should have:
- an understanding of corporate governance principles and financial literacy to the level expected of a director
- an ability to think strategically and be an active and productive participant in Board discussions
- high standards of professionalism, integrity and objectivity
- sound judgement, instinct and acumen, with an ability to synthesise detailed and complex information.
The Ageing Australia Board welcomes nominations from eligible nominees from member organisations of all service types and size. Without limiting eligibility, the Board particularly encourages nominations from:
- officers of small providers (revenue under $15 million) and/or for-profit providers
- nominees who reflect the rich diversity of Ageing Australia’s membership, including those of Aboriginal and Torres Strait Islander descent, from culturally and linguistically diverse backgrounds, LGBTIQA+ persons and persons with a disability
- members that specialise in providing services to diverse groups.
Voting rights for members
- The election format is an online e-ballot to occur before the AGM, administered by Vero Voting. Only NVRs will receive the AGM notice and have access to the election portal for director voting.
- Each member organisation gets one vote.
- Voting is your opportunity to shape the leadership of Ageing Australia and ensure strong representation.
- All Ageing Australia members may vote on all Elected Director appointments, regardless of their jurisdiction.
- NVRs will receive information about the candidates and how to vote before the AGM.
